1. Role Separation
The ClauseLogic™ Execution Model is built on a clear separation of roles between the architecture owner and
execution partners. This preserves IP independence while enabling multi‑partner delivery at global scale.
1.1 Architect & Licensor (ClauseLogic™)
- Owns all ClauseLogic™ IP, capsules, and modules.
- Designs the architecture and deployment patterns.
- Defines site‑specific configurations and governance.
- Leads commercial structuring and licensing.
1.2 Execution Partners
- Datacentre operators – hosting, mirroring, sovereign zones.
- Carriers – low‑latency transport and edge connectivity.
- Sustainability platforms – CO₂ optimisation and ESG reporting.
- Cloud‑repatriation firms – workload migration and cost reduction.
- FMCG operators – operational adoption and value realisation.
- Investment and coverage partners (e.g. Post Oak) – where aligned, as one of several execution channels.
2. Execution Flow
ClauseLogic™ defines the architecture; partners execute their respective components under a non‑exclusive,
site‑specific model.
- Architecture and capsules are specified by ClauseLogic™.
- Relevant partners are selected per site, region, and operator.
- Implementation follows a governed, multi‑partner delivery plan.
- ClauseLogic™ maintains architectural integrity and oversight.
This model allows multiple datacentres, carriers, and platforms to participate without any single party
acquiring control over the architecture itself.
3. Commercial Model
3.1 Licensing
- Site‑specific, non‑exclusive licensing of ClauseLogic™ capsules and modules.
- Fixed architecture fees with optional performance‑linked components.
- Licensing remains with ClauseLogic™ and is not assigned to execution partners.
3.2 Partner Economics
- Execution partners earn revenue on the services and infrastructure they deliver.
- Coverage or investment partners may receive commission on deals they originate or execute.
- No partner participates in ClauseLogic™ licensing revenue unless explicitly agreed.
4. Multi‑Partner Deployment

5. IP Independence & Governance
- ClauseLogic™ remains the sole owner of the architecture, capsules, and modules.
- Partners do not acquire IP rights through participation or execution.
- Deployments are governed through clear, site‑specific agreements.
- The model supports auditability, change control, and long‑term evolution.
